Your agreement for using our healthcare infrastructure services.
Agreement to Terms
By accessing and using the services of Baxter Cobb Shared Services, LLC ("BCSS"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services Provided
BCSS provides comprehensive healthcare infrastructure services including:
- HIPAA-compliant healthcare data infrastructure and encryption
- X12 EDI transaction processing (270/271, 837, 835)
- FHIR R4 healthcare interoperability services
- Multi-factor authentication and security services
- Audit logging and compliance management
- Payment processing and practice management integration
- Healthcare ML predictions and optimization services
User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Providing accurate and complete information
- Complying with all applicable laws and regulations (HIPAA, HITECH, 21 CFR Part 11)
- Notifying us of any unauthorized use of your account
- Maintaining appropriate Business Associate Agreements where required
Privacy and Confidentiality
We are committed to protecting your privacy and maintaining the confidentiality of your protected health information (PHI) in accordance with HIPAA regulations. Please review our Privacy Policy for detailed information.
Electronic Signatures
By using our electronic consent and signature features, you agree that your electronic signature is legally binding and equivalent to a handwritten signature under the ESIGN Act (15 U.S.C. § 7001) and 21 CFR Part 11. You may request paper copies of any documents you have signed electronically.
Payment Terms
Payment for services is based on usage and subscription terms outlined in your service agreement. We accept various payment methods. All payments are processed securely through PCI-compliant payment processors.
Service Level Agreement
BCSS strives to maintain 99.9% uptime for all infrastructure services. Planned maintenance windows will be communicated in advance. We maintain comprehensive disaster recovery and business continuity plans to ensure data availability and integrity.
Limitation of Liability
BCSS shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service. Our liability is limited to the amount paid for services in the preceding 12 months.
Compliance and Regulatory Standards
Our infrastructure is designed to support compliance with:
- HIPAA Privacy Rule (45 CFR Part 160 and Part 164, Subparts A and E)
- HIPAA Security Rule (45 CFR § 164.302-318)
- HITECH Act breach notification requirements
- 21 CFR Part 11 (FDA electronic records and signatures)
- NIST Cybersecurity Framework
Changes to Terms
We reserve the right to modify these terms at any time. Continued use of our services constitutes acceptance of any changes.
